Creating a documentary/mini series questions

My business partner and I are interested in getting a documentay/mini series made. I have 2 friends in LA, whom I fully trust, one of which has a low budget production company, the other is versed on the subject. What my partner and I do not understand is how everyone is compensated. We came up with the idea, but how much is that worth? They have the equipment already so there should not need to be a large investment upfront. I would assume we would pitch it, someone would buy it and take over. Does anyone have an experience on how these deals should be structured? 50% us and 50% my two friends? Is our idea worth less/more?
