yup, due diligence is key. get good advisors (lawyers, accountants, etc.). there's no real handbook for due diligence - you review the obvious and then start to look for the distinctive weird stuff - and there's ALWAYS distinctive weird stuff ;-)

in my experience owning a business and being in a family business for 84 years, your first step is

to secure a great accountant and go over the books of the company for the last 10 yrs, checking all profit/loss statements, cash flow, bankruptcies (sp), any irs problems, and do a dunn and bradstreet on them, first do that before you get your balls in an uproar..email me if you need any help..
