CPL is like a basic degree while a ATPL is like your master or doctorate. You cannot be a captain w/o ATPL these days and I think there are some countries that may not allow CPL holders to fly into their airspace, US and EU come to mind. On top of these, there are other ratings like your instrument ratings, low visibilty rating etc.

All depends on the country's licensing requirements but yes usually. Here, CAAS allows a straight ATPL which will be frozen till you reach the required hours, 3000 I think. You will still get your CPL although you have passed the ATPL exams.
