Besides the obvious, such as smog tests, legal issues etc. is there any disadvantage/complication to removing (or otherwise plugging-up) the air injection system on a 355?

Any advantages besides fewer things to fail/go wrong?

Does the injection of extra air only make a difference if the cats. are installed (upper and lower)? In other words, if the upper and lower cats are removed does the air injection serve any purpose?

On a separate note... how does the engine management system deal with the additional oxygen introduced into the exhaust system? I would think the o2 sensors would "read" this increase yet the MAF would not have seen the increase since the air was introduced after the MAF. Does the engine ECU ignore the o2 signals until the air pump stops?

No problem....however leave the electrical connections in place and remove aux. air plumbing.

The aux. air is only for start up(cold O2 sensor and cat)...the ecm will be operating in open loop mode(voltage output of O2 sensor offline/ignore..look-up pre-set data log tables) so any increase in air from this system does not effect fuel adjustment/trim.

The aux air system just pumps in some oxygen rich outside air to get the cats to light-off quickly and once that is achieved this system becomes inactive. If you don't have cats this system is of no value.

    Good luck..
