    Hi Everyone,

    My company is looking to setup a warehouse and distribution office in Orange County. We are based out of Toronto Canada so I am totally green when it comes to registering a company in the US and the details pretaining to running it. As such I'm turning to the F-Chat community for some help in setting up shop in SoCal.

    Currently I am in Orange County and welcome any input and would be willing to meet with anyone in the area who may want to chat about how to do business here. Please lets not turn this into a debate about California being broke and how you want to leave town. I'm committed to being here (can't beat the weather and car culture) so SoCal is where it is at for me.

    At present I'm looking for about 3-4K sq feet of warehouse/office somewhere in the Lake Forest or surrounding area (I'm pretty flexible). Real estate leads, company registration websites, employment requirements, anything that may be useful I welcome.

    Huntington Beach seems to have quite the car culture. Swing a cat and you can hit lots of warehouse space for lease. Business license through city hall etc. Pretty much the same anywhere now re: vacancies.

    It's the TAXES !! with CA being beyond broke and looking at another 10 Billion in debt for next yr with NO plans for help, it's killing business at an alarming rate, even for those companies that jump ship and move to NV they get audited and from what I'm hearing still have to pay CA taxes even after leaving.

    Over a decade ago I moved to NV worked in NV and still had to pay CA income tax for 1yr.!

    the other problem is the resale tax, I can't afford to purchase from CA companies unless it's necessary as the sales tax eats to much. If you setup here in CA any customer in the state will pay tax unless they have a resale certificate. I think there is also regulations on that as well, you'll need to check with the state board of equalization and tax revenue dept.s this is of course not just a CA thing, most all states have the resale tax issue, it's here in CA where the TAX has been getting out of control. there are parts of Monterrey that are over 10%!!!

    which also ties into that here in CA all residents have to calculate a use tax when doing their taxes to pay the state even more money. this occurred in 2007.

    and lets not forget the IOU's that the state handed out for tax refunds while increasing what we pay them. they also increased your income taxes by an involuntary 10% in Nov this yr, that supposedly is supposed to come back interest free next yr.

    Are you setting up as a manufacturer, wholesaler, warehouse etc.. each is different with state for licenses and permits and how you're allowed to operate.

    My suggestion unless you need a storefront here in OC is to setup in Las Vegas and live here in OC. If you're comfortable with the tax.

    Personally I LOVE the weather here and put up with ALOT but it's getting harder and harder every yr. I don't even drive the Ferrari now because the CHP/PD shake down for $$$ along with the state DMV and courts. local courts now impose fee's for processing tickets based upon the ticket cost and the state collects fee's in as you have to pay them as well to process the ticket. this is esp so with 'fix-it' tickets. Yes the PD's will hand out bogus tickets that require you to pay the state and courts and DMV to prove that you were not in violation, quick easy money for them.

    I know you didn't want to hear about how the state is broke, however the state is beyond money broke it's Government is broken, that's what is so scary. the money land grab with the water issue, forced furloughs for state agencies. and a new one, the state courts have hired out aggressive debt collection companies to harass and shake down the residents for fear of jail and loss of driving licenses which the debt agency can put holds on thru the DMV with out proper cause and deny your right to court for appeal.
    google GC services, a current class action lawsuit for illegal practices in 16 states says alot.

    Just be informed with your choice, and get a good tax attorney as you will need one.

    oh and the new scary one is the possible repeal of Prop 13, if that happens CA will be the wild west again.

    Heck I know people who won't fly over CA for fear of getting stuck here!

    I live here still and love the weather, I understand the attraction I'm just aware it will also most likely be my undoing sadly, unless I can find enough money to buy my own island.

    Scott is 100% correct. This is a bad bad state. Every day I think of moving. The funny thing is when people like Scott and I leave the state they will be bigger in debt. We call it the peoples republic of kalifornia for a reason. I can almost guarantee you the initial happiness with the prk will wear off soon. This government's solution to self made crisis is to tax anyone left who can pay. The problem is that more of the wealthy are leaving everyday who are just darn tired of the nonsense. Two days before x-mas I was paying on an "impluse buy" to get a new 60" TV. At the very end cali gets a $25 TV disposal fee tax. I was not disposing of any TV but getting another one. I refused to pay it so I did not get a TV and some salesmen and manufacturer failed to buy shoes for his kid. Great way to help an ailing economy...kill it with more taxes besides the 10% sales tax. Well that's fine by me I did not need the TV anyway.

    Ya, its what our great elected officials fail to realize that tax, tax, tax is NOT going to solve the spending habits of this legislature. Those of us who live in this state, are all in this boat together. We either all row, or it will sink. The era of free lunch for every social program that can be thought of is OVER. The citizens of Kailfornia realize that. When will the clowns in Sacramento?

    man the taxes in this state make me want to vomit. along with the lack of public transportation. somehow, OC has slightly less sales tax than LA. 8.75% vs 9.25%.

    These guys are so dumb in my city it makes me scream!!!! My city has 4 ways into it. Our cities have decided to do TARP road construction on 3 of the 4 ways at the same time to stimulate our economy. Well we are staying home and not spending even the usual amount of money we spend because we can't get out of the city due to the traffic. These guys are freaking geniuses!
